11. Miscellaneous. This Agreement constitutes the entire understanding between the parties as to the access and use of the Website. It supersedes and terminates any prior or contemporaneous discussions or agreements relating to its subject matter. The laws of the state of Florida, USA (excluding its conflict of law provisions) shall govern this Agreement. Venue for any litigation arising out of this Agreement shall lie exclusively in the state or federal courts of Orange County, Florida. In the event of any litigation arising from this Agreement, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs at all levels, including appeals. In the event any term of this Agreement is found by any court to be void or otherwise unenforceable, the remainder of this Agreement shall remain valid and enforceable as though such term were absent upon the date of its execution.
12. Waiver of Jury Trial. EACH PARTY HERETO KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY WITH RESPECT TO ANY LITIGATION (INCLUDING, BUT NOT LIMITED TO, ANY CLAIMS, CROSS-CLAIMS, COUNTER-CLAIMS, OR THIRD PARTY CLAIMS) ARISING OUT OF, UNDER, OR IN CONNECTION WITH THIS AGREEMENT OR BETWEEN THE PARTIES TO THIS AGREEMENT, THEIR AFFILIATES, SUBSIDIARIES, SUCCESSORS, OR ASSIGNS AND IRRESPECTIVE OF WHETHER SUCH LITIGATION ARISES OUT OF THIS AGREEMENT, BY STATUTE, OR AS A MATTER OF TORT LAW AND THE PARTIES HERETO EXPRESSLY CONSENT TO A NON-JURY TRIAL IN THE EVENT OF ANY OF THE FOREGOING.
